These general terms apply to Jolojolo website, Jolojolo mobile application and its related online sites linked to or related to Jolojolo …. (hereinafter generally described and termed “Jolojolo, Jolojolo Platform or Platform”), whose domain website address is  https://jolojolo.com as well as its affiliated companies and associates, as set contained herein. This website is created by Jolojolo Logistics Limited, a duly registered company in the Federal Republic of Nigeria with its registered address at 2, Oyedele Ogunniyi Street, Anthony Village, Lagos.

This website is available to the general public/users for seamless operations of Jolojolo’s business.

By accessing this Jolojolo Platform, you (“User”, “you”, “your”) agree to our terms and conditions below:

 

Object

Jolojolo Logistics Limited is a duly registered company in Nigeria with a clear business objective to deploy technology to provide tech-driven solutions to bridging the gaps of bringing certain local merchants and consumers together where consumers can, from the comfort of their zones, order for and get delivery of their preferred items ordered from merchants at their respective comfort zones. Jolojolo main business focus is to provide a viable platform through technology Jolojolo Platform which serves as a link to connect the consumers to the merchants and delivery agent that facilitates the logistics of getting the ordered items delivered to the consumer’s doorstep/preferred destination within the area covered by Jolojolo Platform. Delivery agents are a network of people who are trained in logistics and enlisted on Jolojolo Platform to offer their services. These delivery agents essentially partner with accredited merchants on Jolojolo Platform with an undertaking to carry out their services within an estimated time to deliver ordered items to the consumers.

In addition, Jolojolo Platform is a tech-driven platform that is useful for contracting parties on demand bases – an easier way for anyone who makes a request or requires an assistance in running an errand either in terms of getting certain services or making some purchases in person via electronic means, sending or collecting of items from local merchants to his or her destination to delegate effecting the requests or running errands to a third party, the delivery agents are at the beck and call to timely get things done.

Essentially, Jolojolo Platform is a like a one-stock shop which focuses on facilitating the timely execution of consumer’s request by connecting the consumers to the accredited merchants as well as the delivery agents.

For avoidance of doubt, Jolojolo Platform is not in any way responsible for the desirability, quality or usefulness of items/products and or services offered through the Platform, or the performance of any errand or delivery requested by consumer through the Platform.

By accessing the Jolojolo Platform and voluntarily creating a profile as user, merchant and or delivery agent, you acknowledge and expressly and unambiguously agree to these General Terms, as well as to the privacy policy and the cookie policy available online. Any user, merchant and/or delivery agent who does not agree with the said General Terms and/or policies shall refrain from and not be allowed to use the Jolojolo Platform.

Access and Registration

Basic requirements for Registration

The following are the essential requirement to use Jolojolo Platform:

  • A user must be at least 18 years of age.
  • A user must duly fill and complete the registration form requesting personal details such as the user’s name, e-mail address, telephone number and bank card number (where necessary).
  • A user must read and accept/consent to the General Terms. 
  • A user must also agree/consent to the Privacy and Data Protection Policy.
  • A user must agree to the Cookie Policy.
  • A user must agree/consent to the Standards of Ethics and Business Conduct for Third Parties available at https://compliance.com/public/compliance 

Once registered, a registration confirmation will be sent to the user. Users of Jolojolo Platform have the option to edit their profile as may be necessary and appropriate.

Users’ Profile and Responsibilities

Everyone using Jolojolo Platform must have a username and password which are unique, confidential and non-transferable. In order to increase the security of accounts. Users are encouraged to use strong password to prevent compromise as Jolojolo Platform does not guarantee the security of any user’s profile.

It is important to note that Jolojolo Platform does not store users’ payment details which are processed and stored by the payment service provider as stated in these Terms.

Users’ Warranties

As a User, you warrant that all the information regarding your identity and capacity provided on Jolojolo Platform is true, accurate and complete. In addition, you undertake to keep your details up to date on needs basis and as may be necessary. If you provide any false, inaccurate or incomplete information or it is discovered that the information provided is false and or inaccurate or there are reasonable suspicion to doubt the accuracy of such information, Jolojolo reserves the right to deny the user from accessing of using its Platform.

As a user, you also undertake not to disclose the details of your own account or allow access thereto to third parties. You undertake to be solely responsible for any use of such details or of the services on the Jolojolo Platform that may be made by third parties, including the statements and/or contents entered thereon, or for any other action carried out under your username and/or profile. Jolojolo Platform cannot guarantee the identity of registered users, and it will therefore not be liable for the use by unregistered third parties of a registered user’s identity. You undertake to inform Jolojolo Platform immediately, using the available communication channels, if you suspect any compromise of your profile.

User’s obligations and responsibilities

As a user of Jolojolo Platform, you are fully aware of your responsibility for the proper use of, and access to your profile and contents in accordance with the relevant laws, rules and regulations as well as with the principles of good faith, morals, generally accepted customs and public order.

You also aware that you are the sole owner of the content entered into or information supplied by yourself on Jolojolo Platform. Jolojolo Platform shall not be deemed to have editorial responsibility, and it expressly exonerates itself from any attendant consequences that may arise from such content.

You agree not to use your profile on Jolojolo Platform with fraudulent intent or for illegal purposes or with illegal results that is capable of violating third-party’s rights and interests or that may in any way damage, disable, affect or impair the smooth operation of Jolojolo Platform and compromise its contents and services. In addition, you are prohibited from hindering normal use of Jolojolo Platform by others.

Any persons who breach the above obligations shall be liable for any loss or damage caused by them. Jolojolo Platform will accept no liability for any consequences, loss or damage that may arise from such illegal use or access by third parties.

In general, users of Jolojolo Platform undertake, by way of example without limitation:

  • To refrain from altering or modifying the Platform, in full or in part, by bypassing, disabling or in any other way tampering with, its functions or services;
  • To refrain from infringing industrial and intellectual property rights or the personal data protection legislation;
  • To refrain from using the Platform to insult, defame, intimidate or harass other users or attack their image; 
  • To refrain from accessing other users’ email accounts;
  • To refrain from introducing computer viruses, corrupted files or any other software that may cause damage or alterations to the Platform’s or third parties’ contents or systems;
  • To refrain from sending mass and/or recurring emails to a number of people, or from sending third parties’ e-mail addresses without their consent;
  • To refrain from advertising goods or services without prior permission or approval from Jolojolo.
  • Any user may report another if he/she believes that the latter is in breach of these General Terms. Similarly, any user may report of any abuse or infringement of these terms through the communication channel provided on the Platform. Jolojolo Platform will check such reports as soon as possible and will take appropriate steps that it may consider, reserving the right to remove and/or suspend anyone found culpable for violating any of the term of these Terms. Jolojolo Platform reserves the right to issue a warning or impose a ban either temporarily or permanently on anyone found culpable of violating any of these Terms and may remove and/or suspend any message considered to be an illegal or offensive content without the need for a prior warning or subsequent notification.

 

User reviews

Jolojolo Platform may collect reviews of its numerous users relating to certain merchants and/or the products or services offered by them and may publish the said reviews on its Platform and make them available for everyone, identifying them by the first name of the user who has left the review, all in accordance with Platform’s Privacy Policy. 

Users of Jolojolo Platform may be asked to provide the said review, only in the case that they have placed an order on the Platform to the relevant merchant. The provision will, nevertheless, be completely voluntary for whoever may like to submit it. By submitting a review, the user accepts its collection and publication as may be determined by Jolojolo Platform. 

Reviews may be limited by a certain number of characters and the user agree to leave relevant reviews only devoid of offensive, abusive, untrue, discriminatory nature either for the merchant, the delivery agent or for any other person using the Platform. Jolojolo may filter the reviews according to  and where found wanting, remove any review that is considered  not in compliance with these General Terms or that may be considered contrary to the law and public order. 

Credit Card Theft or Appropriation

As a user on Jolojolo, it shall be your obligation to inform or escalate to the Platform if they have been any evidence of suspicion of theft/theft of credit card linked with your profile on the Platform by a third party. Jolojolo Platform, together with payment service provider, will endeavor to block further payments when duly informed by the user; however, Jolojolo Platform will not be liable for any fraudulent use thereof that may be made by third parties on the user’s profile and shall not be under any obligation to investigate the fraudulent use or compromise of the users’ payment methods by third parties nor to block any suspicious transaction. It is therefore recommended that that every user should report of any theft, robbery or suspected misuse of his or her credit card to the nearest police station. Jolojolo Platform undertakes to cooperate with the police or other competent authorities as may be necessary to provide relevant information as may be available on its Platform as may be required. 

In the event of fraud, Jolojolo Platform reserves the right to take any appropriate action including timely report to the police and other relevant agencies/authorities.

De-registration and cancellation of Users’ accounts

A user may voluntarily deregister or opt out from the Platform. 

Jolojolo Platform equally reserves the right to suspend and/or cancel any user’s profile on the Platform where such profile contravene or violate users’ basic usage or in a case of reasonable suspicion of fraudulent activity or illicit use. 

Operation of the Service & Service Models

The Platform allows its duly registered users to request or place different types of orders including buying products and/or requesting for services directly from the accredited merchants and or request the collection and subsequent delivery of the product by the delivery agent,  from the merchants’ addresses to the address provided by the user or choose to directly collect the order from the merchant’s store through the available options on the Platform as defined herein (hereinafter, the “merchants model”), provided that the address is within the area of coverage covered by Jolojolo Platform. A user or consumer may ask a delivery agent to either perform errands and/or purchase products in person on his/her behalf and to collect them from, and deliver them to, the addresses specified  as well as to perform on-demand deliveries on behalf of the user/consumer (hereinafter, the “Courier” model). Such errand shall not violate any applicable and relevant operative within the area of coverage. 

The Merchants model

Through the merchant’s model, a user shall have access to the marketplace available on the Platform and may acquire the products and/or services therein offered by those accredited merchants who have signed an agreement with Jolojolo Platform. Additionally, a user may make a request on the Platform the delivery of the acquired products by any available delivery agent and who accepts the order to any address within the area covered by the relevant accredited merchant and delivery agent. 

As a user, you accept that the descriptions and, where applicable, the prices or photographs of the products and/or services available on the Platform, are provided based on the information and documents supplied by the merchants, and that Jolojolo Platform is therefore unable to provide any guarantees against any possible inaccuracies in such descriptions, prices and/or photographs. Jolojolo Platform reserves the right to withdraw any product from its Platform, as well as to modify the contents of its information sheet at any time, without thereby incurring any liability of any kind.

The user accepts that all the products appearing on the Platform are subject to availability and, in this regard, accepts the possibility that, while carrying out the order, the product and/or service may be found not to be available at the merchant(s). The user also accepts that Jolojolo Platform is, in no way responsible, for the quality and/or characteristics of the products or services offered by the merchants and/or by the delivery agents, who are professionals dedicated to the provision of the products or services offered through the Platform. The merchants and/or the delivery agents are, similarly, responsible for the procurement of any approval, license or permit that may be legally required for the provision and offer of the said goods or services and, by offering them through the Platform, the merchants and/or delivery agent declare to have duly obtained and or procured them accordingly. 

In-Store and Pick-Up Requests

Every registered user on Jolojolo Platform has the option of requesting of ordering, through the Pick-Up and/or In-Store option(s), a selection of products and/or services offered by certain merchants/service providers. These options enable users to physically collect orders from the merchant/service provider’s stores/business establishments themselves. These options will only be available through those stores/business establishments for which this option has been enabled within the area of coverage by Jolojolo.

Jolojolo reserves the right to upgrade its Platform to enable, disable and/ or include new features relating to the Pick-Up and In-Store orders unilaterally at any time and shall do so by notifying its registered users to upgrade accordingly. Every registered user agrees to abide with, consent and comply with such upgrade and the General Terms as may, from time to time, be published by Jolojolo Platform.

   In-Store Orders

This feature enables every registered user to place an order or make a request directly from those merchants/service providers that have chosen to include this option and pick them up in-store at the time an order or request is made.

Operation of In-Store option

  1. To use the In-Store service, every registered user will be required scan the quick response (QR) barcode to link the merchant/service provider operating within the coverage area on Jolojolo Platform.
  2. A consumer or registered user on Jolojolo Platform will then be able to make or request an order using enabled features on the Platform to select the preferred items available on the merchant/service provider’s store and make a purchase.
  3. A registered consumer on Jolojolo Platform may also be able to make a request of an order by merely searching for his or her preferred item or service on the Platform in the event he or she is unable to scan the QR barcode.
  4. A registered user of Jolojolo Platform has the option of payment method as provided on the Platform. An order may be cancelled before the merchant/service provider agrees to honor it. A consumer may also be able to change the order before delivery; in this instance, the consumer will be required to contact the merchant/service provider immediately a consumer decides to change the order/request.
  5. The price of orders placed through the In-Store option excludes the cost for delivery.

 Pick-Up request

This feature enables every registered user to place an order or make a request directly from those merchants/service providers that have chosen to include this option and pick them up in-store at the time an order or request is made.

Operation of Pick-Up option

  1. A registered user or consumer will be required to select this option on Jolojolo Platform for the business establishments/merchants/providers for which it is available, together with the products that they so wish to buy at those business establishments/merchants, and confirm the order on the Platform.
  2. Once the order has been confirmed in accordance with the payment method enabled for this purpose, it may only be cancelled using the available features on the Platform before the merchant honors or accepts to honor it. 
  3. Once the order has been confirmed, the order number will appear on the screen of the user’s device, and this must be shown to the staff of the establishment when collecting it.
  4. The price of orders placed through the Pick-Up option excludes cost of delivery.

The Marketplace Option

As a registered user on Jolojolo Platform, you acknowledge and accept that, in the event that the delivery of the product acquired through the Platform is requested, in certain cases it may be provided by the business establishment. Service provider/merchant’s own delivery agent other than a freelance delivery agent.

In such cases, the responsibility for the delivery will fully lie with the business establishment/service provider/merchant which is the only one in position to track the delivery of the order and to resolve any incident in case of any issue arising from the delivery. In the circumstance, the user will not be able to track the location of the product and the estimated time of delivery may vary. In these cases, in case of any delay and/or issue relating to the delivery of the items/products/services, you agree and undertake too contact the business establishment/service provider/merchant directly.

The Jolojolo model

In this unique model, as a registered user on the Platform, you will be able to order the purchase in person of certain products/items, and the delivery agent will serve a means to get the ordered item/product delivered to you by merely acting on your behalf. You will however be required to specify the products/items to be included in the order by using the available features on the Platform detailing relevant/necessary information or instructions for the delivery agent who is to acting on your behalf to get the ordered items/products delivered to you. You will be required to provide traceable, accurate and correct addresses -including not only the written addresses. The address supplied on Jolojolo Platform shall be deemed to be your preferred address for delivery and shall bear the cost of delivery. If there be any error in the address(es) supplied on the Platform, you agree to be responsible for the inconvenience or error for the said address.

In addition, you will be required to provide the instructions as detailed as possible for the delivery agent to effect the delivery as requested. As a registered user and consumer, if you so wish to know the composition and nutritional information of the products/items which is ordered, you agree to contact directly the business establishment/service provider/merchant providing the item(s) or product(s) to obtain full information on such items/products. 

You agree not to order or place a request the performance of any errand and/or purchase which is against the applicable law and public order, either due to its content or the circumstances in which the said errand is requested. As a result of the foregoing, every registered user on Jolojolo Platform shall be solely responsible for all orders or requests made via his or her account on Jolojolo Platform and shall be held liable for any sanction application thereto.

You are well aware that Jolojolo collaborates with the authorities of each country to prevent every activity that is criminal in nature which include every act so declared by law to be a crime, fraudulent act, drug trafficking, money laundering, terrorism, identity theft etc. You also agree that Jolojolo may disclose user’s data to public authorities on their request in order to prevent and avoid the commission of these or other criminal offences.

As a registered delivery agent, upon acceptance to deliver the order made on Jolojolo Platform, you undertake a mandate to purchase the products ordered by the consumer on his or her behalf and according to his/her indications and specifications. If the product and/or service, as ordered by a registered consumer is not available on the Jolojolo Platform, a delivery agent may call the consumer to discuss any alternative or available options, if any. If there are no alternative available options or the consumer does not accept any of the options set out by the delivery agent, the order will be cancelled in accordance with the relevant provisions of these General Terms. If the consumer does not answer the phone call placed by the delivery agent, the delivery agent shall be at liberty to cancel the order or request made through the available features on the Platform.

Where any other change or variation is reported by the delivery agent for the consumer’s approval before carrying out the mandate and the consumer wishes to make any comments regarding the order, he/she will always be able to directly contact the delivery agent who is carrying out the mandate.

Where an order or a request includes the purchase of a product or an item, the delivery agent shall give the consumer a receipt evidencing the price for such product and/or service issued at the moment of the purchase by the seller of the product and/or service requested by the consumer. In addition, a consumer shall receive a mail in his or her e-mail address associated with his/her account, details of the transaction. 

The Courier model 

This is enabled on Jolojolo platform for registered users to make an order or a request for services of a delivery agent for the collection and delivery of a certain item, product or object from and to the addresses indicated by the consumer, provided that these are within the area covered by Jolojolo Platform. The delivery agent undertakes to perform the services requested by the consumer on his or her behalf as requested on the Platform.

As a requested user of the Platform, you agree never to request any collection and/or delivery which is against the applicable law and public order, either due to its content or the circumstances in which the said order is made or requested. You will be required to provide traceable, accurate and correct addresses -including not only the written addresses. The address supplied on Jolojolo Platform shall be deemed to be your preferred address for delivery and shall bear the cost of delivery. If there be any error in the address(es) supplied on the Platform, you agree to be responsible for the inconvenience or error for the said address.

The “Jolo Pro” model

Through this model, a registered user of Jolojolo Platform may be able to place an order or make a request choose from a range of available enlisted products or items at various business establishment/merchants/service providers as contained on Jolojolo Platform.

 

All services available on Jolojolo Platform to every registered users shall be carried out only in case the following conditions are met at the time of payment:

  • The service requested by the consumer must be operative during the chosen time slot.
  • The products purchased, the goods to be delivered and/or the errand to be performed must be in one of the cities, and within the available area covered by Jolojolo Platform.
  • The destination must be located in the same vicinity/location as the product and/or the collection address as may from time to time determined by Jolojolo Platform.
  • The product(s) ordered cannot exceed the following size: 40 cm x 40 cm x 30 cm*
  • The maximum weight of a single order will be approximately 9 kg*

*The above-mentioned size and weight will not apply in the case of groceries such as large food produce purchased from farms and local markets where vehicles are capable of accommodating such volumes.

Every registered user on Jolojolo Platform agrees to provide traceable, accurate and correct addresses -including not only the written addresses. The address supplied on Jolojolo Platform shall be deemed to be your or preferred address for delivery and shall bear the cost of delivery. If there be any error in the address(es) supplied on the Platform, you agree to be responsible for the inconvenience or error for the said address and therefore, releases Jolojolo and from any liability for negligence or error in the collection or delivery of the order as a result of providing incorrect addresses for collection and delivery.

Where a consumer is not at the place indicated for delivery and the order cannot be delivered, such consumer shall bear 100% of the cost of delivery and the products/items ordered for. This is without prejudice to the possibility for the consumer to place and pay for another order, identical to the one that could not be delivered, to receive the said products or service.

The reception of the order by the consumer at the preferred address or destination for delivery shall be considered as acceptance of the order. In case that the order is incorrect, incomplete or contains any defect, the consumer shall contact Jolojolo Platform through the feature provided on the Platform immediately after the reception of the order. Neither Jolojolo nor the delivery agent assumes any obligation to confirm the identity of the recipient of the order or request as the recipient shall be deemed to be the consumer who actually made the order or placed a request or someone with the authority of the consumer to accept and receive what was ordered at preferred delivery address supplied by the consumer on the Platform when the order or request was made. Jolojolo Platform shall not assume any liability for the handling of the order at the incorrect person at the correct delivery address. 

Economic Conditions

Prices of the Services provided on Jolojolo Platform

Every eligible consumer can register on Jolojolo Platform free of charge; however, the registration is subject to review by Jolojolo at any time. In any case, registered users may be required to pay for certain services on the Jolojolo Platform as provided in these General Terms. Jolojolo Platform therefore reserves the right to change the prices at any time, by informing its numerous users as and if required by the applicable laws. Such changes shall take effect immediately after publication. 

Jolojolo Platform will charge the user a service fee for the use of Jolojolo Platform to continuously improve our overall services, providing a wider selection of merchants, business establishments or vendors and continuously improving users’ experience, among others. The amount of the service fee can be fixed or varied according to the value of the products/items. Jolojolo Platform sets the service and makes it visible to its registered users at the moment of the checkout of every order.  This service fee will be charged against the credit card that the registered user has selected for the payment of the order. In the event that the registered user selects the cash payment option (please note that this option may be unavailable for some products/services on the Platform), the service fee will be charged to the registered user in cash at the time of collection or delivery of the order, and the merchant will be responsible for receiving this amount on behalf of and in the name of Jolojolo. 

In case of payment with cash, Jolojolo Platform reserves the right to withhold the money from a consumer who chooses card payment option until payment is made at the time of delivery of the product and/or on completion of the assignment at the place of delivery. If the payment does not take place, Jolojolo Platform reserves the right to charge the card on which the money has been withheld accordingly.

In addition to the said service fee, a registered user is obligated to pay the price of the products and/or services requested through the Jolojolo Platform, as well as the courier or delivery services as requested each time that a collection and/or delivery is requested by the consumer. In the event of bad weather conditions, oversaturation, high demand and/or any other condition that may affect the provision of the delivery services, consumer may experience a temporary increase in the fee for those services provided. In any case, the fee for the delivery service may also vary in cases of force majeure and conditions outside the control of Jolojolo’s control.

In the case of orders under the Jolojolo or Courier or Jolo Pro models, the total price of each service may be composed of a variable percentage based on the distance/kilometers travelled and the time taken by the delivery agent, as well as, where applicable in cases in which a consumer requests the physical purchase of a product or service, the price established by each business establishment, merchant or service provider. Jolojolo Platform reserves the right to change the price based on the distance travelled and/or the time of the day in which the service is performed. A consumer will be entitled to know the estimated fee for the service before contracting it and paying for it, unless the consumer has not specified the address for collection. 

In addition, the estimated fee may include tips for the delivery agent and/or the merchant/local store, whose amount shall be solely and entirely at the consumer’s discretion to decide on whether or not to tip.  Jolojolo may offer the possibility to consumers to remember the tipping option selected; in the case that the consumer consents to the saving of his or her preferences on tipping, these preferences will be automatically applied in all future orders. The consumer is however at liberty to change the selected preferences at any time. 

Price of the Products and/or Services offered by Jolojolo Platform 

The prices applicable to each service and/or product offered on Jolojolo Platform are established by the business establishments/merchants and are set by them. Jolojolo Platform shall ensure that the prices on the Platform are updated and duly reflect the real market price that will be applied by the business establishment/merchant.

For each enlisted and displayed items/product on Jolojolo Platform, accredited business establishment/merchant that produces/provides the items/products/services is at liberty to set a disclaimer on the products/services they offer through Jolojolo Platform, ensuring that the prices displayed correspond to those available at their own premises and in compliance with relevant applicable laws, rules and regulations. In this case the accredited business establishment/merchants remain responsible for any variation, change and/or errors that such prices may occasion as Jolojolo shall no intervene in any way in the setting of the disclaimer or be responsible for its attendant consequence(s).

All the prices stated on the Jolojolo Platform are inclusive of any taxes that may be applicable based on the territory from which the consumer makes his or her request for order and shall, in any event, be denominated in the currency in force in the territory from where the consumer operates.

Every registered user of Jolojolo Platform acknowledges that prices of the products and services indicated by the accredited business establishment/merchants on the Platform may not always include the price of their packaging that may be charged separately to the consumer as may be required by the applicable law and/or standards. In particular, but without excluding any other case, the consumer acknowledges that it may be charged separately the price of any plastic packaging that accompanies his or her order.

Billing

By registering through the Jolojolo Platform and providing the required bank details, every registered user expressly authorizes Jolojolo to issue receipts for payment of the services requested, including the price and delivery of the products ordered.

Every registered user also expressly authorizes Jolojolo to send him/her by electronic means, to the e-mail address provided by the user, in his or her account on Jolojolo Platform, receipts for the services contracted and/or the bills generated either by the use of Jolojolo Platform by the services provided by the accredited delivery agent and/or business establishment/merchants. If an invoice is required, a request for such must be made on the Platform before placing the order.

Payment Platforms

Payment of the price of any product (such as food, drink, a gift, etc.) properly made on Jolojolo Platform by its registered users will be remitted to the associated restaurants and/or business establishments/vendors as well as the delivery agent, for the services provided. Jolojolo does not act on behalf of its registered users and none of the authorizations provided in this document shall be deemed as a mandate given to Jolojolo.

Jolojolo issues receipt of payments to its registered users acting as an agent (for collection of payments) on behalf of associated restaurants and/or business establishments and delivery agents through an Electronic Money Institution duly licensed and recognized in Nigeria. Electronic Money Institutions (hereinafter, “Payment Platforms”) are responsible for the obtention of any necessary authorization or license to provide, directly or indirectly, regulated payment services in Nigeria and for being in compliance with the current applicable laws. Jolojolo Platform will accept no liability for the lack of authorization or license or the breach of any applicable regulation; on the contrary, the sole and exclusive liability will lay with the Payment Platform.

Jolojolo reserves the right, as a fraud prevention measure, to request a payment pre-authorization for the products ordered through its Platform, always through the Payment Platform and for the sole purpose of verifying the means of payment provided and ensuring the correct functioning and use of Jolojolo Platform by its registered users. Such pre-authorization shall in no event involve payment of the full amount of the order, as this will be done solely and exclusively after the products have been made available to the consumer.

If a consumer has any issues with the payment via the Payment Platform made available Jolojolo Platform, the consumer may contact Jolojolo Platform for assistance service through the communication channels provided on Jolojolo Platform. Jolojolo will make its best efforts to provide a solution to the issue and to liaise with the Payment Platform to the extent possible; be that as it may, Jolojolo shall not be responsible for any such issue that falls within the activity and responsibility of either the Payment Platforms or the consumer’s bank or assimilated financial institution. 

Payment methods

A registered user on Jolojolo Platform may pay for the products and/or services requested for or made in cash or by credit card. When making an order, the user will be required to select his or her choice of the various payment options available on the Platform from which the service is being requested or order is made. In some certain situations, the user may also have the option to pay with mobile money, either via the Jolojolo Platform or at the moment of pick up or reception of the order or service as may be indicated when request is made on Jolojolo Platform. 

In order to pay with a credit card, a registered user must provide the card details on Jolojolo Platform as a payment method associated with his/her account. Jolojolo Platform does not store card numbers on its servers and can only view the last four digits of the card. The full information shall be stored on the servers of the Payment Platform through which payments are made. 

The cash payment option may be unavailable for some products or services enlisted on Jolojolo Platform and in some areas of operation covered by Jolojolo. If available, in the case of cash payments, Jolojolo Platform reserves the right to withhold the money from the registered user’s card until payment is made at the time of delivery of the product and/or on completion of the assignment at the place of delivery. If the payment does not take place, Jolojolo reserves the right to debit the user who made the order or request or charge amount to the account of the registered user. 

Where for fraud is suspected for non-payment, the registered user’s account shall be blocked until the situation has been rectified and the debt has been settled.

Refunds

In the event of a dispute, Jolojolo Platform may provide the first line of support and may reimburse the user where considered to appropriate. In case of cash payments, Jolojolo Platform provides refunds, to the user’s account however, where fraud is suspected, the request for a refund by the registered user can be rejected.

Notwithstanding the above, Jolojolo Platform shall not be under any obligation for refund due to defects of products enlisted on its platform or provision of ineffective services requested on the Platform. Where Jolojolo refunds, due its quest to satisfy its numerous registered users, such shall not be considered as a waiver of this exclusion of liability which is inherent to Jolojolo’s condition of a mere intermediary. Also, any return of a product as well as its corresponding refund shall be managed by the user directly who made an order or requested for services of products from the merchant, in accordance with the merchant’s return policy.

Promotional Codes and/or Other Offers or Discounts

Jolojolo Platform may unilaterally provide at any time credits for use for its registered users within its Platform, discounts, free shipping as well as any other promotion, to certain deserving registered users (hereinafter, the “discounts and/or promotions”). Jolojolo Platforms reserves the right to discontinue with or cancel any of these Discounts and Promotions unilaterally at any time as may be deemed necessary. 

Every registered user acknowledges and accepts that any Discounts or Promotions granted must be used only within the validity period established by Jolojolo Platform for each Discount and/or Promotion. If no validity period is specified at a particular moment of communicating and/or granting such Discount or Promotion, the validity period applicable by default will be of six (6) days from the date on which they were made available to the users. Any other validity period set by Jolojolo Platform at the moment of communicating or granting the said Discount and/or Promotion will prevail over the six (6) days default validity period stated above.

Similarly, every registered user acknowledges and accepts that any Discounts and/or Promotions granted may be applicable only to certain products and/or services offered through Jolojolo Platform or only under specific circumstances and conditions as may, from time to time, be specified on its Platform. 

Discount and/or Promotions granted to Users must be correctly entered in the APP by the User before placing the order. Otherwise, they will not take effect and the User will be unable to enjoy them. The User is responsible for making sure that the Discount and/or Promotion is applicable for the specific products or services requested through the APP and that the Discount or Promotion is still valid and fully effective. 

Every registered user acknowledges that Discounts and/or Promotions may experience a delay in its application from the moment in which these are communicated and/or granted to the user. In particular, among others, the Discounts and/ or Promotions offered by Jolojolo Platform for first users or first orders on its Platform may take between 24 and 72 hours from the time of the creation of the user’s account to be available. The user is responsible for making sure that the Discount and/or Promotion has been correctly entered on the Jolojolo Platform and to review that it has correctly been applied to the order. If this delay in application exceeds 72 hours, the user can use the communication channels on the Platform. 

Every registered user acknowledges and accepts that all Discounts and/or Promotions are valid only once per user and, therefore, may be restricted based on various characteristics such as device, credit/debit card, email address, phone number or user ID, except expressly stated otherwise by Jolojolo Platform in reference to the specific Discount and/or Promotion. 

Jolojolo Platform reserves the right to unilaterally cancel, review and or withdraw any Discount and Promotion either offered or already granted if it becomes aware of a fraudulent use thereof and apply sanctions as deemed appropriate to erring users.

Jolojolo Platform accepts no liability if, due to an event of force majeure or other events beyond its control or whose need is justified, it is forced to cancel, shorten, extend or amend the conditions of Discounts and Promotions. In particular, Jolojolo Platform accepts no liability if the website is not available at any time during Discounts and Promotions or for a malfunction in the automated promotion system.

Cancellation of Orders and Right of Withdrawal

Cancellation of Orders by the User

In accordance with the nature of the service offered by Jolojolo, it is taken that every registered user is aware that once an order placed is accepted, the execution of the mandate is considered to have started, and the user may therefore no longer be entitled to withdraw the service request free of charge. Once the user has cancelled the orders, the products will not be delivered. This is without prejudice to the right of return and/or withdrawal of the user that may correspond to the user under the laws applicable.  

The cost of cancellation may depend on the following factors:

  1. If the merchant has already accepted the order and started preparing it, the user will be charged the price of the products. The user will be informed of the merchant’s acceptance through the Jolojolo Platform and/or by e-mail at the e-mail address registered by the user. 
  2. If the order must be cancelled by Jolojolo Platform and/or by the merchant, due to reasons that are not directly attributable to the user but outside Jolojolo’s control (e.g. lack of stock, change in the price by the Merchant, etc), Jolojolo’s agents will contact the user to inform the latter of the alternatives available and the costs that these will entail, if any.

The total cost of cancellation will appear on the user’s screen on pressing the “Cancel” button on Jolojolo Platform based on the factors described above. 

Cancellation of Orders by Jolojolo

Jolojolo Platform reserves the right to cancel an order without having to provide a just cause, this will however be communicated to the user of the said cancellation and any amount held in the user’s account and/or credit card will be released. 

Return of Non-perishable products. Right of Withdrawal

If a registered user wishes to return a non-perishable product or make a claim about the provision of a service, the merchant that sold the said product will be the sole responsible for the acceptance and/or refusal of such return, in accordance with its own internal policies and with all applicable law. Therefore, in all cases, the return of a non-perishable product shall be subject to the merchant’s returns policy in any event and the decision regarding whether a return is appropriate will lie with the merchant in each case. Similarly, the merchant will decide how to make the refund (cash, credit card, store voucher, etc.) following its own return policy.

Jolojolo Platform will neither be responsible for such return, nor for the compliance of the merchant’s return policy with all applicable laws. This is without prejudice to Jolojolo’s ability to act as an intermediary between the registered user and the merchant in handling the complaint. The user must inform Jolojolo Platform of the solutions provided by the merchant if a dispute arises.

In addition, as certain merchants may not have premises open to the public such that will enable registered users to access them for the purpose of processing any claims or returns. In such cases, such user must contact Jolojolo Platform via the communication channels available on its Platform for assistance for the necessary help and support.

Every registered user must check the non-perishable products delivered by to him or her at the delivery address at the moment of the delivery; the user is shall responsible for checking that the service and/or products provided are adequate as well as, where applicable, for collecting enough evidence to prove that they were not. Therefore, if a user wishes to process the return of a non-perishable product, he/she must provide a photograph of the total order, together with a list of the incorrect or undelivered products, as well as other proof of the inadequacy of the product requested. Ultimately in all events, the decision on whether a return is appropriate or not will lie with the merchant or service provider and not with Jolojolo Platform. 

Jolojolo Platform will provide on its Platform official claim forms and make same available to all registered users in the official languages of the countries in which Jolojolo Platform operates, in relation to the service it offered. Users may request the above-mentioned claim forms on Jolojolo’s Platform for assistance service, and the option to access them will be sent automatically. The user’s e-mail must specify the exact location from which the request is being made, which must be the same as the place where the service is to be carried out. In the event of doubt, the claim should be made from the latter place.    

Home Delivery of Free Samples and Other Commercial Actions

Jolojolo reserves the right to enter into commercial agreements with other companies, brands, stores, entrepreneurs, professionals etc., to send promotional communications, including the addition of free samples to any orders delivered to all registered users, either occasionally or as part of recurrent sampling campaigns. In this regard, during any type of sampling campaign, certain merchants or brands may have a prominent position if so agreed with Jolojolo Platform for the purpose of the merchant or brand promotion.

Every registered user acknowledges and accepts that, by ordering through Jolojolo Platform, it may participate in any sampling campaign and receive various samples together with the orders made on Jolojolo Platform, for mainly promotional purposes. 

Jolojolo Platform is, in no way, responsible for the quality and characteristics of the products provided as sample and will not be liable for any damage and/or offence caused by the delivery of the said sample. Also, Jolojolo Platform is not responsible for any sampling campaign that the merchants offering products or services through Jolojolo Platform may organize and implement while Jolojolo Platform makes its best efforts to ensure legality of merchants’ activities and merchants commit to respect the law when using Jolojolo Platform. Jolojolo Platform cannot review the content of the orders and/or any sampling campaign organized by the merchants in their condition of independent professionals/companies. 

Policy on the Delivery of Restricted Items

General Policy

The items listed below are inexhaustible and Jolojolo reserves the right to, as may be necessary to comply with relevant government policies, laws and regulations, extend the list to include items/services not listed herein:

Alcohol and Tobacco Products

Alcohol and tobacco products, as well as any related and/or assimilated products.

Animals and Regulated Species

Animal parts or fluids; banned seeds, harmful plants; regulated plants or other organisms (including their by-products) which are endangered or whose trade is regulated by law as applicable in any case.

Child pornography

Pornographic material involving children or content that may be perceived as erotic paedophilia.

Copyright on Software and Media

Unauthorized copies of books, music, films and other protected or licensed materials, including properly referenced copies; and unauthorized copies of software, video games and other protected or licensed materials, including from OEMs or other products that cause unsolicited messages to be sent.

Counterfeits and unauthorized products

Copies or imitations of designer products or other goods; items belonging to celebrities that would usually require authentication; false autographs; foreign currency; stamps; tickets; or other unauthorized goods.

Devices or tools for overcoming security measures

Modems, chips or other devices for dismantling technical protection measures as well as on digital devices, including for unlocking iPhones.

Drugs

Controlled substances, narcotics, illegal drugs and their paraphernalia, including psychoactive and vegetable drugs such as psychedelic mushrooms, as well as materials promoting their use.

Explosives and assimilated

Explosives, flammable, corrosive, corrosive, toxic substances

Gambling and Betting

Lottery tickets, bets, online betting site memberships/registrations, and related content. Permitted promotion of physical casinos.

Products Sold in Pharmacies

Deliveries of pharmaceutical products may be limited or restricted in certain countries and/or cities in which Jolojolo Platform operates.  Prescription drugs may not be ordered/delivered. OTC (over-the-counter) medicines, ancillary medical devices, as well as any other products for hygiene, nutrition or similar for human use sold in pharmacies may be subject to the mandate given by the registered user to the delivery agent and to what the pharmacist may deem appropriate.

Materials for hacking and cracking

Manuals, guides, information or equipment that infringes the law by damaging or fraudulently facilitating access to software, servers, websites or other protected property.

Human Body

Organs or other body parts; body fluids; stem cells; embryos.

Stolen or illegal goods

Materials, products or information that promotes illegal goods or facilitates illegal acts; goods not belonging to a person or which a person has no right to sell; goods produced in violation of third-party rights; goods infringing import, export or labelling restrictions; motor vehicles that are subject to transfer restrictions. Every registered user is solely and fully responsible for checking that all items are genuine and legal.

Illegal telecommunications equipment

Devices aimed at obtaining satellite signals without payment, illegal products for modifying mobile phones and other equipment.

Offensive goods

Goods, literature, products, or other materials that:

  • Are defamatory of any person or group of people based on their race, ethnic origin or country of origin, religion, gender, or any other factor.
  • Are defamatory of any person or group of people who are protected from defamation by the applicable law (e.g., the royal family in some jurisdictions).
  • Praise or incite the commission of violence.
  • Promote intolerance or hatred.
  • Promote or support membership of terrorist groups or other organizations that are prohibited by law.
  • Are contrary to public morals.

Offensive goods related to a criminal offence

Photographs of, or objects from, a crime scene, such as personal belongings, associated with criminals or criminal acts.

Culturally protected artefacts

Materials covered by the 1970 UNESCO Convention on the Means of Prohibiting and Preventing the Illicit Import, Export and Transfer of Ownership of Cultural Property or other goods whose sale, export or transfer is restricted by law; Artefacts, cave formations (stalactites and stalagmites);

Pyrotechnic devices and dangerous substances requiring special permission

Pyrotechnic items and related goods in markets in which their supply is regulated, as well as substances such as petrol or propane.

Traffic-related devices

Radars, number plate covers, illegal traffic-modification devices and related products.

Weapons

Firearms, ammunition and other items including, without limitation, firearms, knives that are either undetectable or easy to conceal, martial arts weapons, silencers, ammunition or ammunition magazines.

Money and Foreign Currency

Foreign currency or currencies insured with precious metals, as well as banknotes, coins or any other valuable securities.

Primary and Secondary Schools / Use by children

We reserve the right to refuse orders from users who are minors. In addition, we reserve the right to refuse orders at any location near a primary or secondary school, as well as to ask for sufficient proof of age.

  

Specific considerations on the purchases of alcohol

A registered user who accept these Terms and Conditions may view and place orders involving the purchase and/or delivery of alcoholic products through the Jolojolo Platform. By ordering, the user acknowledges that he/she is of the age foreseen and permitted by the applicable law in the territory in which the order is placed.

In any case, Jolojolo Platform reserves the right not to process/deliver any order including alcohol to those recipients of the order who cannot be identified as a registered user on Jolojolo Platform or has not the required age or fails to meet other conditions for registration of falls within the category of restrictions foreseen by the applicable legislation in the territory in which the user places the order. In this instance, the user shall bear the full cost of the product and the costs associated with placing and cancelling the order.

In those cities where the sale and/or delivery of alcoholic products is restricted in certain hours, the user must respect the proper use of Jolojolo Platform and, consequently, respect the time zones prohibited by the applicable legislation.

In any case, Jolojolo Platform reserves the right to refuse to process/deliver the order including alcohol outside permitted hours. As a consequence of the above, the user shall bear the full cost of the product and the costs associated with the placement and cancellation of the order.

In the event that the user transfers his/her Jolojolo Platform account to minors or persons who, due to their circumstances, may be in situations that require special protection, Jolojolo Platform reserves the right to initiate all civil/criminal actions to protect the rights of the most vulnerable people. In this regard, Jolojolo undertakes to use all material and human means to control this type of fraud, but in no case is responsible for the illegal transfer of an account to another person who has not expressly accepted these Terms and Conditions.

Jolojolo Platform being a responsible corporate entity, recommends moderate and responsible consumption of alcoholic products purchased.

Specific considerations on products from pharmacies

Jolojolo Platform does not carry out or intermediate in the sale or advertising of medicines for human use through its Platform in the countries and/or cities where this is not permitted by law, in compliance with the applicable regulations regarding the retail sale of medicines for human use.

In the event that the user places an order for medicinal products that are subject to an applicable prohibition of telematic intermediation, delivery and/or sale, Jolojolo Platform reserves the right to refuse the order in accordance with the applicable legislation on the retail sale of medicinal products for human use.

In any event, Jolojolo Platform accepts no responsibility for users’ use of the products ordered in the pharmacy or be liable for the amounts and/or condition of the products dispensed at pharmacies.

Content moderation and/or alteration

Notwithstanding the foregoing, Jolojolo Platform reserves the right to restrict certain users’ access to its Platform, either fully or partly, as well as to cancel, suspend, block or remove certain types of content, by means of suitable technological tools, if it becomes aware, or there are signs, that the activity or the information stored is illegal or harmful to a third party’s rights or property. Further, Jolojolo Platform will not tolerate the publication of abusive language or abusive attitudes towards Jolojolo, its workers, the merchants, the delivery agent, or any other party involved in the content published in the Jolojolo. 

In this regard, Jolojolo Platform may establish any filters that may be necessary to prevent the service from being used to upload unlawful or harmful content to its Platform. Any registered user and/or third party will be required to contact Jolojolo Platform in order to notify the presence of illegal content. Jolojolo Platform will carefully examine any notification in this regard, providing that it includes a sufficiently substantiated explanation of the reasons why it is alleged that the relevant information is illegal content and a clear description and indications that allow Jolojolo Platform to identify the relevant information and its place of storage. Jolojolo Platform will, thus, make its best efforts to investigate the information denounced and to take appropriate measures for its removal if it is found or considered to be illegal. 

In addition, Jolojolo Platform reserves the right to decide on the algorithms and parameters applicable to the ranking of the merchants (restaurants and/or stores) and products that appear on Jolojolo Platform, as well as to amend and update it. The user acknowledges and accepts that the said ranking may depend on multiple factors and metrics, including but not limited to the proximity and accessibility of the premises, prior reviews, as well as any agreement reached by Jolojolo with said merchants or distributors of the products related to their positioning and visibility.

Solidarity at Jolojolo

Jolojolo may collaborate, either through its Platform or through other interfaces such as https://jolojolo.com  among others, with various institutions, corporate groups and non-governmental organizations in charitable and solidarity projects, donation campaigns and non-profit campaigns in some of the countries in which it operates (subject to applicability in each country). Jolojolo acts as an intermediary in such projects, based solely on its good faith and wishes to contribute to social initiatives. Jolojolo Platform accepts no liability for the final use or outcome of such campaigns. Jolojolo does not give any security or guarantee, or accept any legal liability, or have any control over how donations are used by the above-mentioned establishments.

In addition, Jolojolo may develop and manage solidarity and social impact projects in the event of natural disasters, conflicts and/or any other need, as part of its social corporate responsibility policy. Jolojolo will inform its registered users of those actions via its channels of communication available on its Platform. Jolojolo may grant users the opportunity to collaborate in the said projects; for such purpose, Jolojolo will clearly inform users on how to participate and all relevant implications of their collaboration. 

Geolocation

Jolojolo Platform may collect, use and share exact location data, including the real-time geographic location of the user’s computer or mobile device, provided that this is authorized or consented to by the user. The said location data may be collected and used by Jolojolo Platform to show users the location of the point of origin and/or destination of an order. In this regard, users expressly consent to their geolocation data being shared with any merchant to successfully carry out the order requested at any given time. Users may choose to disable Geolocation on their devices as provided in the Data Privacy Policy.

Responsibilities and Warranties

Responsibilities and warranties in relation to Jolojolo Platform

All registered users are responsible for having in place the necessary services and equipment to browse the Internet and access Jolojolo Platform. Users can report any incidents or problems accessing Jolojolo Platform using the contact channels made available to users and will analyze the incident and instruct the user on how to resolve it as quickly as possible.

Jolojolo does not guarantee the absence of errors or interruptions when accessing its Platform or its content, or that it will always be up to date. Therefore, Jolojolo will not be liable for any service interruptions, connection errors, unavailability of, or faults in, the Internet access service, or Internet interruptions or for any other matters beyond its control. Notwithstanding the foregoing, Jolojolo will, save in the event of circumstances making this difficult or impossible, take all steps to correct such errors, restore communication and update contents as soon as it becomes aware of the errors or disconnection or of the contents being out of date.

Jolojolo accepts no liability for any security errors that may arise or for any damage that may be caused to the user’s computer system (hardware and software), or to the files or documents stored therein, as a result of:

  • The presence of a virus in the user’s computer system or mobile handset used to connect to Jolojolo Platform’s contents and services;
  • A malfunction of the browser;
  • The use of outdated versions thereof.

Jolojolo hereby confirms that it has obtained all necessary licenses required for its operation and furtherance of its business objectives.

Responsibilities and liability in relation to content

Jolojolo Platform does not control, and is not responsible for, the contents uploaded by registered users, merchants and delivery agents on its Platform; therefore, every registered user, merchant, service provider, business establishment and agent shall be solely responsible for the lawfulness of such contents. Similarly, Jolojolo Platform does not control (and is under no obligation to control) how registered users, merchants and service provider, business establishment and agent use Jolojolo Platform. It therefore does not guarantee that they use the Jolojolo Platform in accordance with these General Terms or in a diligent and/or prudent manner and in accordance with all relevant applicable laws. Further, Jolojolo Platform does not check (and is under no obligation to check) the identity of users or the truthfulness, current validity, completeness and/or authenticity of the data supplied by them.

Jolojolo Platform gives no warranties regarding the authenticity, accuracy, novelty, reliability, lawfulness or non-infringement of third-party rights by the merchants, service providers, business establishments and agents. In this regard who are registered on its Platform. All registered users state that they understand that Jolojolo Platform is a mere intermediary and that it therefore accepts no liability arising from the information provided by merchants, service provider, business establishments and agents for any loss or damage that may potentially be suffered by them due to a breach of these General Terms. It must be emphasized that Jolojolo Platform is not a party to the transaction consummated on its Platform but merely provides an avenue to enable the parties to communicate and place as many orders as may be necessary. Jolojolo makes no assertions or confirmation regarding any merchants, service provider, business establishments and agents or their identity or background information. Jolojolo therefore recommends that registered users should always be conscious and remain alert when placing any order.

By registering on Jolojolo Platform, users accept that any claims they wish to bring for legal liability arising from actions or omissions of other users of Jolojolo Platform or third parties shall be restricted to such users or third parties, and that no actions for liability may be taken against Jolojolo Platform.

Liabilities and warranties in relation to users’ reviews

Jolojolo Platform is not responsible for the content of any review left by any user, regardless of whether these are published on Jolojolo Platform, and will accept no liability for any damage and/or offence caused by the said reviews. Jolojolo Platform can only guarantee that the users who have purchased a certain product or service through Jolojolo Platform will be asked to provide a review on it; albeit Jolojolo Platform will make its best efforts to put in place reasonable measure to prevent fraudulent, offensive and abusive reviews. Jolojolo Platform cannot systematically verify the reviews collected and, therefore, cannot guarantee the accuracy and truthfulness of the reviews left by the users. 

Responsibilities and liability for the products and services offered through Jolojolo Platform

As an intermediary, Jolojolo Platform merely facilitates, via its Platform, the means by which the parties involved (i.e. the merchants, the users, service provider, business establishments and agents) may contact with each other to arrange the sale and, if desired, the delivery of the products and services to the address indicated by the user. Therefore, Jolojolo Platform is in no way responsible and neither guarantees nor assumes any liability for the products or the services offered by the merchants or for the provision of any requested delivery services. Jolojolo Platform will not check, and it is not responsible for checking, the products sent or delivered through orders on its Platform. Further, Jolojolo Platform neither prepares, nor sells/delivers any product and, therefore, cannot be liable for its ingredients or its manipulation and the provision of any information on allergies. Notwithstanding the above, Jolojolo Platform requests all merchants, service providers, business establishments and agents shall abide by all relevant applicable laws and the highest standards of health and safety in the preparation and manipulation of the products, as well as of information provision to users and consumers. Additionally, given that any food product offered Jolojolo Platform is prepared and packaged at the merchant’s establishments. Jolojolo Platform is not responsible for ensuring that food orders are delivered to users in properly closed packages. 

Furthermore, the product/services images displayed on Jolojolo Platform are provided for illustrative purposes only and the final product/service the user purchases may differ slightly from these images.

The users, the merchants, service providers, business establishments and agents release Jolojolo Platform from any liability that might arise from the availability and/or transport of products requiring specific permissions or licenses, or of products forbidden by any applicable legislation. If Jolojolo Platform becomes aware that the user, the merchant, service providers, business establishments and agents is/are using Jolojolo Platform to transport prohibited products, Jolojolo Platform may launch an internal investigation to ascertain the facts, take any legal action that may be necessary and/or block the user, merchant service provider, business establishment and agent in question until any potential investigation has been completed. The measures available to Jolojolo Platform include providing the authorities with data and information on the users, merchants, service providers, business establishments and agents.

Jolojolo Platform rejects any liability for damages of any kind that may arise from users, merchants and/or service providers, business establishments and agents’ illegal use of Jolojolo Platform due to the information supplied by latter to other users, merchants and/or service providers, business establishments and agents being untrue, no longer valid, incomplete and/or false and, in particular and without limitation, for any loss or damage of any kind that may arise due to  users, merchants and/or service providers, business establishments and agents impersonating a third party in any kind of communication made through Jolojolo Platform.  In particular, Jolojolo Platform accepts no responsibility for the use of its Platform or for any orders that may be made by a third party from the users, merchants and/or service providers, business establishments and agents’ account. 

Responsibilities and liability in relation to delivery requested through the APP

Jolojolo Platform cannot be responsible for delivery times as these depend on the merchants’ own successful operations, the preparation of orders and the information furnished by users when placing orders or their availability and response at the time of delivery; therefore, the delivery times stated on Jolojolo Platform are provided are estimated for indicative purposes only. Further, Jolojolo Platform will never be liable for the availability of delivery agents or for their adequate and satisfactory performance of assignments.

The delivery agent is exclusively responsible for the delivery and/or management of the goods without prejudice to the fact that, in the event of an incident, the user contacts the delivery agent and Jolojolo through its Platform or other enabled channels in order to resort to a possible insurance policy.

Jolojolo Platform shall also not be liable for any damage or deterioration of the goods. It is the user’s responsibility to prove to the delivery agent and Jolojolo Platform that the alleged damage or deterioration has actually occurred from the time the goods have been collected from the place of origin until they have been delivered to the user in his or her delivery address, in which case the user must contact the delivery agent and Jolojolo Platform through the provided communication channels in order to resort to a possible insurance policy.

However, Jolojolo Platform as an avenue that intermediates between user and delivery agent, may mediate as far as reasonably possible in the dispute that may arise between them during the delivery and/or management of goods.

Furthermore, any claim relating to the delivery and/or management of the goods shall be brought exclusively against the delivery and not against Jolojolo.

Regular Updates and Changes on Jolojolo Platform

Jolojolo Platform reserves the right to amend these General Terms, the Privacy Policy and the Cookie Policy at any time. Jolojolo Platform will provide prior notice of those amendments when mandatory in accordance with the relevant applicable laws. 

In addition, Jolojolo Platform reserves the right to update, amend or delete the information contained on its Platform, at any time and without prior notice unless mandatory as per the applicable law, with regard to its layout, presentation and access conditions, without thereby accepting any liability in relation thereto. 

Intellectual Property

Jolojolo is the owner or licensee of all intellectual and industrial property rights that relate to the software and Jolojolo Platform, as well as the content that can be accessed through it which is uploaded to its Platform and/or on its behalf. These intellectual property rights, as well as the text, images, graphic design, navigation structure, information and content contained therein, are the property of Jolojolo, which has the exclusive right to exploit the rights thereto in any manner, in particular the right of reproduction, distribution, publication and transformation, in accordance with the relevant applicable legislation on intellectual and industrial property rights. 

The content uploaded to Jolojolo Platform by or on behalf of any third party, including but not limited to the users, merchants and delivery agents, remains their exclusive property; therefore these are fully responsible for any damage, claim and/or liability that may directly or indirectly derive from the content uploaded by them and/or on their behalf. 

Authorizing a registered user to access Jolojolo Platform does not imply the waiver, transfer, licensing or full or partial assignment by Jolojolo of any intellectual or industrial property rights. Deleting, bypassing or in any way tampering with the contents of the Jolojolo Platform are all prohibited. In addition, modifying, copying, reusing, exploiting, reproducing, publicizing, making second or subsequent publications of, uploading files, sending by post, transmitting, using, processing or distributing in any way all or some of the contents included on Jolojolo Platform for public or commercial purposes are also prohibited, save with Jolojolo’s express written authorization.

By registering on Jolojolo Platform and agreeing to these General Terms, registered user grants Jolojolo, in relation to the content that he/she may provide, a worldwide, irrevocable, and transferable license, free of charge, with the right to sub-license, use, copy, modify, create derivative works, distribute, publicize and exploit it in any way that may be deemed appropriate by Jolojolo, with or without any further communication to the user and without having to pay any amounts for such uses. All the above shall be understood as granting the indicated rights only to the maximum extent permitted by the applicable legislation. 

Severability

If any of the clauses of these General Terms are found to be voidable or void by operation of law, such clause(s) shall be deemed not to have been included. Such declaration of nullity will not cause the other clauses to be void, and these shall remain valid and effective between the Parties.

Applicable Law

The relationship between Jolojolo Platform and the registered user shall be governed and construed in accordance with the General Terms and the Nigerian laws and any dispute shall be submitted to the competent courts in Nigeria.

Customer Support and Alternative Dispute Resolution

In order to facilitate communication with the delivery agents if necessary, and in the event of any incidents in the processing of the order and/or in order to inform of any changes thereto, Jolojolo Platform makes available to its numerous registered users through the communication channels to allow direct and immediate contact between the user and the delivery agent while the order is being carried out. If a user wishes to contact the delivery or Jolojolo after the order has been completed, he/she must use the communication channel available on Jolojolo Platform.

Further, Jolojolo Platform will act as intermediary for the solution of any claims related to the order placed by the user, to the user’s account and/or to any other policies and/or services provided via its Platform. 

All the above is without prejudice to the users’ right to submit their complaints and/or requests through any legal means available to consumers, including any out–of-court/alternative dispute settlement bodies that legally provide dispute settlement services.

Special Terms and Conditions of “JOLOJOLOSUPER”

These terms and conditions shall apply to those Users who request a JolojoloSuper subscription. These Terms and Conditions do not replace the application of the General Terms; in any event, they supplement them and may be modified and extended by Jolojolo at any time. Therefore, the General Terms will regulate anything not specifically dealt with in these Special Terms. 

What is JOLOJOLOSUPER?

JOLOJOLOSUPER is a service provided by Jolojolo under which, in exchange for a fixed monthly fee, registered users on Jolojolo Platform can enjoy unlimited deliveries by delivery agents of all those products ordered by them, provided that the JOLOJOLOSUPER logo expressly appears in the relevant store in which they are offered, at no additional cost to the above-mentioned fixed monthly fee.

JOLOJOLOSUPER will not apply to any stores or services that do not have the special JOLOJOLOSUPER logo at the time of placing the order. The JOLOJOLOSUPER service may be used provided that the provisions of these Special Terms and Conditions, the General Terms, as well as any other terms that may be applicable are complied with.

Registration Process

In order to register for the JOLOJOLOSUPER service, the user must have a current active Jolojolo account, be of full legal age and ask to register for JOLOJOLOSUPER from his or her personal Jolojolo Platform’s user profile. This is without prejudice to any other requirement included in this Specific Terms or in the General Terms, as well as in any other terms and conditions that may apply.

The JOLJOLOSUPER service is activated through the following process:

  • After accessing the Jolojolo Platform entitled “my account” and “JOLOJOLOSUPER”, the user must select the “Register and pay” section and pay the specified monthly fee as indicated on the Platform.
  • The payment date will be the JOLOJOLOSUPER subscription start date (hereinafter “the Activation Date”), and the subscription will be valid for a one-month period. On the Activation Date, users who have registered for this service will receive an e-mail with confirmation of their registration at the address provided by them in their Jolojolo account.
  • After the Activation Date, the user may use the JOLOJOLOSUPER service for 30 calendar days, for a one-month period. Please note that the user may experience some delay in the effective activation of his or her account from the Activation Date; if this delay exceeds 24 hours, the user shall contact Jolojolo through the communication channels on Jolojolo Platform.
  • Users will find all the information relating to their JOLOJOLOSUPER subscription in the “My Account” column of the application. There, they can check the remaining time of their free trial period, where applicable, as well as, among other things, cancel their JOLOJOLOSUPER subscription or update their payment method.

Subscription Period

The JOLOJOLOSUPER subscription period shall have a duration of one month up to the day immediately before the equivalent date on the following month (hereinafter, the “Subscription Period”), starting on the Activation Date and renewed every month unless the user cancels the subscription.

By accepting these terms and conditions, users acknowledge that the JOLOJOLOSUPER subscription will be renewed automatically and the applicable subscription fee will be charged to the account designated by the user.

If the user does not want the subscription to be renewed automatically and, therefore, the user wishes to cancel the JOLOJOLOSUPER service, he or she may exercise the right of withdrawal at any time, as stipulated in the following clause, provided that he or she informs Jolojolo at least two business days prior to the renewal date. If the user fails to comply with this notification requirement, he or she will have to pay the subscription fee for the following month.

Right of Withdrawal

If a registered user wishes to exercise the right of withdrawal during the JOLOJOLOSUPER Subscription Period, he or she must access his/her account profile and select “unsubscribe”.

The account will be deactivated at the end of the Subscription Period. This means that the registered user can continue to use their JOLOJOLOSUPER account, after completing the “unsubscribe” process until the day immediately preceding the equivalent date of the Activation or Renewal Date in the following month.

In order to avoid being charged the fee, the registered user must exercise the right of withdrawal at least two (2) business days before the subscription renewal date.

Payments are not refundable, and neither refunds nor credits will be given for unused or partly used membership periods during a one-month period. Also, Jolojolo will not grant refunds or credits for partial monthly subscription periods.

If the registered user has unsubscribed from the service but wish to continue with it, he or she may re-register to renew their JOLOJOLOSUPER subscription in accordance with these Special Terms.

Service Fees

The JOLOJOLOSUPER fee shall be the amount set forth in the commercial offer or in the “My Account” column unless the user has been granted a free JOLOJOLOSUPER package for free trial period as may be provided by Jolojolo Platform.

The JOLOJOLOSUPER fees stated are inclusive of any indirect taxes that may apply.

The fee shall be charged automatically monthly on the Activation Date, to the card designated in the account by each user on the Activation Date for a one-month period. If it is not possible to complete a charge using the selected payment method, the user authorizes Jolojolo Platform to charge the applicable fee to any other credit or debit card that the user has already registered to his/her Jolojolo account.

Users may use JOLOJOLOSUPER even in territories in which the product/order is paid for in cash, without this affecting the service in any way.

Jolojolo Platform reserves the right to change the fees at any time after informing its subscribers. Once such notification has been given, Jolojolo may charge the new rates.

Specific Terms of the Service

The following specific terms shall apply to the JOLOJOLOSUPER service:

  • The JOLOJOLOSUPER service shall only apply to purchases carried out in person by means of a delivery agent at establishments with which Jolojolo has a commercial agreement, for amounts of over the Minimum Basket Size applicable to each order indicated on Jolojolo Platform.
  • JOLOJOLOSUPER may only be activated in some of the countries in which Jolojolo Platform operates.
  • The JOLOJOLOSUPER subscription fee will only apply in the country from which the JOLOJOLOSUPER subscription was activated. In other words, if the subscription was activated in Nigeria and the user is travelling to another country, the JOLOJOLOSUPER subscription fee will not apply in that other country.
  • It will only be available for individuals and for private, non-commercial use.
  • Under no circumstances will the subscription be shared with, or assigned to, any persons other than its holder, and companies.

General Terms of Service

The monthly flat fee covers only the price of collection and delivery by the deliveries, not the price of any products that may be ordered by users or any other fees that may be applicable.

Jolojolo reserves the right amend these Special Terms unilaterally and at any time by giving prior notice to the subscribers of the JOLOJOLOSUPER service as and if requested by the applicable laws. Such amendments shall apply to those private individuals who are active on Jolojolo Platform as well as, where applicable, to first-time users thereof.

JOLOJOLOSUPER subscriptions are for exclusive and non-transferable use by their duly identified users, and their use may under no circumstances be transferred to third parties. 

Jolojolo also reserves the right to cancel the accounts of JOLOJOLOSUPER subscribers, as well as to deactivate the service, after giving prior notice to its subscribers.

It is expressly stated for the record that, with the exception of the special terms and conditions set forth herein, the General Terms shall always apply in addition to, and in relation to any matters not modified by, these Specific Terms.

Fraud and Freezing of Accounts

Should it be detected that any signs of misuse or inappropriate and/or fraudulent use of the JOLOJOLOSUPER account, it may automatically and without prior notice deactivate the subscription, as well as, in addition and at any time, the user’s account, reserving the right to take any legal action based on the seriousness of the circumstances under consideration. In addition, Jolojolo reserves the right to cancel the service and subscriptions at its sole discretion by giving prior notice to users.

User Assistance Service

Jolojolo provides a communication channel to all its registered users for any incidents relating to the JOLOJOLOSUPER service.

Free Trial Period

Jolojolo may, at its discretion, provide the JOLOJOLOSUPER service free of charge for as long as it deems necessary. Whenever this free trial is granted to new JOLOJOLOSUPER users, only those who have never been previously subscribed will benefit from the free trial. The user is responsible for checking whether the free trial promotion is applicable in each case. 

At the end of the Free Trial Period, users will in any case be automatically required to pay the fee and to comply with the same terms and conditions as those applicable to all other JOLOJOLOSUPER users.

If the JOLOJOLOSUPER subscription is cancelled, either by accident or for any other reason, before the end of the relevant Free Trial Period, the free trial offer shall be deemed to have been completed and a new free trial period will not be offered in any event.

Jolojolo reserves the right to randomly choose the users to whom it offers the Free Trial Period or, where applicable, other promotions related to the service.

Special Terms Customer Referral Program (CRP)

These terms and conditions shall apply to Customer Referral Program (CRP) offered by Jolojolo. These Terms and Conditions do not replace the application of the General Terms; in any event, they supplement them and may be modified and extended by Jolojolo at any time. Therefore, Jolojolo Platform’s General Terms will regulate anything not specifically dealt with in these Special Terms. 

  1. What is CRP?

Jolojolo may implement CRP that will benefit the users, as well as new users referred to Jolojolo Platform. Similarly, Jolojolo reserves the right to cancel and/or suspend the said CRP at any time, by merely informing its registered users as and if requested by the applicable laws. 

Conditions of eligibility for CRP

As part of CRP, existing users (“Referrer”) who refer friends and family as new users (“New Users”) to Jolojolo Platform, may be eligible to receive referral credits (“Credit(s)”). For both, the Referrer and the New User to benefit from the CRP, the New User must sign up using the unique link (“Link”) provided to them by Referrer. Referrers are prohibited from posting referral links on sites including, but not limited to Google, Chollo.ex, Craigslist, X.com, RetailMeNot and other similar publicly accessible sites. Jolojolo reserves the right to deactivate or invalidate any Credits obtained through these channels, as well as any other Credit that is reasonably suspected by Jolojolo to have been obtained through fraudulent and/or abusive actions. 

New Users will be disqualified and will not receive Credits if Jolojolo determines that the latter had previously created a Jolojolo account, either with the same or with different data. Further, Jolojolo reserves the right to withhold or invalidate Credit obtained through the CRP if Jolojolo determines or believes that the Credit was received through error, fraudulent, illegal, or in violation of these Special Terms, the General Terms or any other applicable terms or policies.

Credits granted within MGM programs

Unless indicated otherwise at the moment of communicating the CRP and/or granting the Credits, Referrers will only receive Credits for the first 15  New Users they refer that are located in the same country as the Referrer. The New User will receive the Credits when they sign up through the Link, providing that they meet all the requirements indicated in these Special Terms, the General Terms and the terms indicated in the offer; the Referrer will only receive the Credits once the New User has made tier first successful order meeting all the requirements indicated in these Special Terms, the General Terms and the terms indicated in the offer. Jolojolo reserves the right to deactivate or invalidate any Credits obtained by either Customer or Referrer in excess of these amounts and/or otherwise in breach of the indicated terms and conditions. 

Credit amounts vary based on regions, and Referrer location will determine the application region and Credit amount. Credit amounts will be stated in the offers and publications referring to the CRP. Jolojolo may require a minimum total or subtotal (excluding taxes and fees) on New User’s first order that must be met in order for both New User and Referrer to receive Credits. Credits will be applied automatically at checkout to order. Credits can only be redeemed within the categories and/or products indicated in the communications referring to the CRP made to the users (Referrer and New User) and within Jolojolo Platform’s areas of action and operative hours. Credits cannot be redeemed for cash or cash equivalent. Credits are not transferable and may not be auctioned, traded, bartered, or sold. Unless expressly indicated by Jolojolo at the moment of communicating the CRP and/or granting the Credits, Credits may not be used in conjunction with select promotions. 

Jolojolo reserves the right to change the amounts, applicable conditions, requirements and the present Special Terms at any time, by merely informing the users as and if required by the applicable laws. Jolojolo Platform’s General Terms are applicable to the CRP and will regulate anything not specifically dealt with in these Special Terms.

Special Terms of “On Demand Services”

Jolojolo has a platform for intermediating in the sending and delivering products available to users, businesses and professionals. This section shall apply to the specifications of the services offered by Jolojolo on the website https://jolojolo.com

These Terms and Conditions do not replace the application of the General Terms; in any event, they supplement them and may be modified and extended by Jolojolo at any time. Therefore, Jolojolo Platform’s General Terms will regulate anything not specifically dealt with in these Special Terms. 

Object

The user may log into the Jolojolo Platform using his/her username and password registered on the Platform for the purpose of requesting the collection and delivery of the desired products from one or more collection points and to one or more delivery points, and their transport will be carried out directly by the delivery agent.

The services requested by the user on the Jolojolo Platform will not entail the purchase of products but merely intermediation services in the delivery of the desired products from the collection address to the delivery address.

Type of Service

When using Jolojolo Platform, registered users will be able to choose between the following types of service:

  • “One-way order”: Products are collected from a single place and delivered to a single delivery address.
  • “Return order”: Products are collected from a single place, taken to a second address and then returned to their point of origin (the first address).
  • “Multiple pick-up order”: There are several collection addresses and a single delivery address.
  • “Multiple drop-off order”: There is a single collection address and several delivery addresses.

Each order may have a free-text box for each order so that registered users can include any relevant comments about their orders for clarification to the delivery agent.

Once an order has been placed, the delivery agent will go to the collection point(s) established by the user in order to collect the order(s) together with their confirmation on the Jolojolo Platform. To collect an order, the delivery agent shall present the order confirmation on Jolojolo Platform. Finally, the order will be delivered by the delivery agent to the designated delivery address(es).

Users may cancel an order free of charge until it has been accepted by a delivery agent. However, if a user cancels an order that has been already accepted by a delivery agent, the user will have to pay 100% of the price for cancelling an order in progress.

If the delivery agent arrives at the delivery address and the intended recipient of the order does not appear within 10 (ten) minutes of waiting and communication attempts, the order will be returned by the delivery agent to the initial collection address and Jolojolo Platform will be entitled to charge the user for the additional expenses incurred in connection with the new service carried out.

These additional costs shall be calculated based on a variable cost that will depend on the number of kilometers travelled to the point of delivery and a fixed cost corresponding to the return of the order to the address of origin.

If a user has any issues while placing an order, he/she must contact Jolojolo Platform’s support service.

The Jolojolo Platform will be available on the days and at the times when the platform is active.

The size of packages that can be carried by the delivery agents may in certain circumstances be subject to restrictions and should comply with the limitations established in these General Terms of Use and Contracting. Products must be located in the cities in which Jolojolo operates, and their collection and delivery points must be located in the same city and areas covered by Jolojolo.

Fee for “On Demand” Services

The price of each order will consist of a variable fee (plus any indirect taxes that may be applicable by law) based on the distance travelled (km) (hereinafter the “Fee”).

Jolojolo reserves the right to modify prices based on the distance involved and/or the time of day when the order is carried out.

In accordance with these terms, registered users will be entitled to know the appr098765eaaaaaaaaaaaaaaaaaaaaaaaaaaaaaaaa*/aoximate fee that they will have to pay for their order before they place it. The fee may vary if there are events of force majeure beyond Jolojolo’s control that result in an increase in the fee payable. The fee may also be increased if a user provides subsequent information to the delivery agent, such as a change of collection and/or delivery address(es) or the addition of addresses to the initial order.

Payment for the service rendered may be made by the following methods, to be freely chosen by the user:

  • Credit card: Users may pay for each order individually using a credit card in the same manner and under the same terms as provided in the General Terms of Use and Contracting.
  • Monthly payments / direct debit: Jolojolo Platform will collect the total amount incurred by the user in each calendar month by direct debit based on the information provided by the User.

If the direct debit is cancelled and the relevant payment can therefore not be taken, the amount owed by the user will be charged to his/her associated credit card her on the same day on which Jolojolo Platform is notified of the direct debit failure. In such case, the user must bear the costs arising from the direct debit failure (e.g., bank charges).

On-Demand Solutions Services

Jolojolo also offers to businesses and professionals On-Demand Solutions Services. Within Jolojolo Platform, the user may also request On-Demand Solutions Services by which Jolojolo connects user’s sales online channels with Jolojolo application and intermediates for making available the products and services sold via such channels to the user’s end customers. 

By using On-Demand Solutions Services, the user expressly accepts to General Terms and Conditions of Use and contracting On-Demand Solutions Services for partners, which shall supersede these General Terms of Use and contracting. The 0.

+-/-/acceptance of these General Terms and Conditions of Use and contracting On-Demand Services for partners by the user does not prevent from agreeing specific terms and conditions.
